Agreement to Terms

Welcome to Love Utah's Lunch Fund. These Terms of Use ("Terms") govern your access to and use of our website loveutah.com (the "Website") and any services provided through the Website (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

We reserve the right to modify these Terms at any time. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

Eligibility

You must be at least 18 years old to use our Services and make donations. By using our Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Our Mission and Services

Love Utah's Lunch Fund is dedicated to ending child hunger in Utah schools. We operate an endowment fund where 100% of donations are invested, and the investment returns are distributed quarterly to eliminate school lunch debt.

Through our Website, you can:

• Make one-time or recurring donations
• Select specific schools or donate to all Utah schools
• Learn about our mission and impact
• Receive tax receipts for your donations

Donations

Tax-Deductibility

Donations to Love Utah's Lunch Fund may be tax-deductible to the extent permitted by law. We will provide you with a receipt for your donation. You are responsible for determining the tax treatment of your donation and should consult with a tax professional if you have questions.

Non-Refundable

All donations are final and non-refundable. Once your donation is processed, it is immediately deposited into the endowment fund and cannot be returned. Please review your donation amount and school selection carefully before submitting.

Recurring Donations

If you set up a recurring donation, you authorize us to charge your payment method on the schedule you selected (monthly, quarterly, or annually) until you cancel. You may cancel your recurring donation at any time by contacting us, but cancellation will not affect donations already processed.

Use of Funds

100% of your donation goes into the endowment fund. No portion of your donation is used for administrative costs, salaries, or marketing. The only deductions are:

• Credit card processing fees charged by Stripe (typically 2.9% + $0.30 per transaction)
• Morgan Stanley's endowment management fee (0.01% annually)

Each quarter, 70% of investment returns are distributed to schools to pay lunch debt, and 30% is reinvested to grow the fund. We reserve the right to adjust this distribution ratio based on market conditions and fund performance to ensure long-term sustainability.

School Selection

If you designate your donation for a specific school, we will make reasonable efforts to direct the quarterly distributions to that school. However, if a school closes, opts out of the program, or no longer has lunch debt, we reserve the right to redirect those funds to other schools in need within the same school district or to the general Utah fund.

Payment Processing

All payments are processed through Stripe, a third-party payment processor. By making a donation, you agree to Stripe's terms of service and privacy policy. You represent and warrant that:

• You have the legal right to use the payment method provided
• The information you provide is accurate and complete
• You will promptly update your payment information if it changes

We are not responsible for any issues with payment processing, including declined transactions, bank fees, or payment method limitations.

Prohibited Uses

You agree not to use our Services for any unlawful purpose or in any way that could damage, disable, or impair our Services. Prohibited activities include, but are not limited to:

• Making fraudulent donations or using stolen payment information
• Attempting to gain unauthorized access to our systems or data
• Transmitting viruses, malware, or other harmful code
• Scraping, data mining, or automated data collection
• Interfering with other users' access to the Services
• Misrepresenting your identity or affiliation
• Using the Services for money laundering or terrorist financing
• Violating any applicable laws or regulations

Intellectual Property

All content on the Website, including text, graphics, logos, images, and software, is the property of Love Utah's Lunch Fund or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any content from our Website without our prior written consent, except for your personal, non-commercial use.

User Content and Communications

If you submit comments, feedback, testimonials, or other content to us ("User Content"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute such content for any purpose, including promoting our mission.

You represent that you own or have the right to submit the User Content and that it does not violate any laws or third-party rights.

Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• The information provided on the Website is accurate, complete, or current
• Any defects will be corrected
• The endowment fund will achieve any specific rate of return

The endowment fund is subject to market risks, and investment returns may vary. Past performance does not guarantee future results.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOVE UTAH'S LUNCH FUND, ITS FOUNDERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers or personal information
• Any interruption or cessation of the Services
• Any bugs, viruses, or other harmful code transmitted through the Services
• Any errors or omissions in content or any loss incurred from use of content
• The performance or non-performance of the endowment fund

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU DONATED IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Love Utah's Lunch Fund and its founders, directors, employees, volunteers, and partners from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights or confidential information.

The arbitration shall take place in Utah, and judgment on the arbitration award may be entered in any court having jurisdiction. You agree to waive any right to a jury trial or to participate in a class action.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of law, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Love Utah's Lunch Fund regarding the Services and supersede all prior agreements and understandings, whether written or oral.

Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Love Utah's Lunch Fund.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms at any time without notice.
